<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">The following Terms and Conditions define the respective parties’ responsibilities of the contractual agreement between Liberty Exposition Services (LE) and you, the Exhibitor. Acceptance of said terms and conditions will be construed when any of the following conditions are met:</span></p>

<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"> </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">The name Liberty Exposition Services shall be construed within the meaning of this contract as Liberty Exposition Services (LE), and their employees, officers, agents and assigns, affiliated companies and related entities including but not limited to any subcontractors Liberty Exposition Services may appoint. The term Exhibitor shall be construed with the meaning of this contract as the Exhibitor and/or its employees, agents, representatives and/or any Exhibitor Appointed Contractor.</span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"> </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Charges for rental items listed are for the duration of the event, except where specifically identified as a sale, include delivery and removal and remain property of Liberty Exposition Services. Cancellations if received prior to move-in, will be invoiced at 50% of original charges. Cancellations received after move-in are subject to 100% cancellation charge. Orders received after deadline are subject to availability.</span></p>

<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"><strong>Rental Policies: All materials shall be returned in the same count and condition that they were received. Materials not returned or damaged will be invoiced at the replacement cost. The renter agrees to compensate Liberty Exposition Services, Inc. should equipment be lost, stolen, missing, broken or damaged whether due to renter's fault or not. This includes, but is not limited to, sticker removal, dents, scratches, and lost parts. Liberty Exposition Services, Inc. reserves the right to charge damage/lost invoices to the exhibitor's credit card on file. </strong></span></p>

<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"><strong>The renter shall indemnify Liberty Exposition Services, Inc., its Officers, Directors and Employees and hold them harmless from loss or liability, including attorney's fees, arising out of all acts or omissions of Liberty Exposition Services, Inc., its employees, agents, contractors, sub-contractors, suppliers, including claims by exhibitors, attendees, guests and any and all other persons in connection with this rental.</strong> </span></p>

<p>On a show site, if an Exhibitor is found taking products out of another booth that they did not pay for, that exhibitor and company will be charged for the items taken. </p>
<p></p>
<p><span style="color: #333333;"><strong><span style="font-family: arial, helvetica, sans-serif; font-size: 8pt;">Payment Policies: </span></strong></span></p>

<li><span style="font-family: arial, helvetica, sans-serif; font-size: 8pt; color: #ff0000;"><strong><span style="color: #333333;">Methods of P<span style="font-size: 8pt; font-family: arial, helvetica, sans-serif;">ayment</span>:</span></strong> The renter can choose to pay by credit card, check, or bank wire transfer/ACH, however, the renter is required to submit a credit card authorization to be on file with Liberty Exposition Services, Inc. even if you are paying by check or bank wire transfer. </span><span style="color: #333333;"><span style="font-family: arial, helvetica, sans-serif; font-size: 8pt;">By providing your credit card information to Liberty Exposition Services, Inc. you agree that we may place your credit card on file to be used for any additional amounts ordered by your representative or services rendered to your company for this event.</span><span style="font-family: arial, helvetica, sans-serif; font-size: 8pt;"> </span></span>

<li><span style="font-family: arial, helvetica, sans-serif; font-size: 8pt; color: #ff0000;"><strong><span style="color: #333333;">Payment of Services:</span> </strong>All payments ordered after the Advanced Pricing Deadline must be received in full by the conclusion of the event. </span><span style="font-family: arial, helvetica, sans-serif; font-size: 8pt; color: #ff0000;"></span><span style="font-family: arial, helvetica, sans-serif; font-size: 8pt; color: #ff0000;">All payments that fail to be received by the conclusion of the show are subject to late fees up to 1.5% per month on any balance not paid or any balance left without the appropriate credit card on file. </span><span style="font-size: 8pt;">If a payment is in the form of a check or wire transfer, the payment must be received by Liberty Exposition Services, Inc. by the conclusion<span>, as well. </span></span></li>
<li><span style="font-size: 8pt;"><span><strong>Discount Prices:</strong> <span style="color: #ff0000;">To qualify for discount pricing, orders must be received with payment on or before the Advanced Pricing Deadline. Payments<span> that are not received in full by the Advanced Pricing Deadline</span><span></span><span> will be charged the full Standard price even if the Exhibitor submitted the order during the Advanced time frame.</span></span></span></span></li>
<li><span style="color: #333333;"><span style="font-family: arial, helvetica, sans-serif; font-size: 8pt;"><strong>Adjustments and Cancellations:</strong> Liberty Exposition Services, Inc. will charge a convenience fee for each request to reprocess payment to an alternate credit card. An alternate credit card is a credit card different from the one used to process your initial payment. <p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Liberty Exposition Services shall not be responsible for loss, theft, or disappearance of exhibitor’s materials after same has been delivered to exhibitor’s booth or before same is picked up from exhibitor’s booth for reloading after the show. Liberty Exposition Services shall not be responsible for damage to uncrated materials, materials improperly packed or concealed damage. Bill-of lading for outgoing shipments, furnished by Liberty Exposition Services, will be checked at time of actual pickup from the booth and corrections made where discrepancies occur. </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"> </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Liberty Exposition Services’ liability is limited to the physical loss or damage to the specific article which is lost or damaged, and in any event, Liberty Exposition Services’ maximum liability shall be limited to the lesser of $.30 per pound per lost or damaged item, $50 per lost or damaged item or $1000 per shipment. This sets for the Liberty Exposition Services’ sole obligation and liability in the event of a valid claim and shall constitute exhibitor’s sole remedy and shall operate as a release by exhibitor of all claims and damages of exhibitor arising out of the loss or damage to materials. Liberty Exposition Services shall have no other obligation or liability with respect to the materials, whether based on contact, negligence, strict tort, or otherwise. </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"> </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Liberty Exposition Services shall not be liable to any extent whatsoever for any actual, potential, or assumed loss of profits or revenues, or for any collateral costs, which may result from any loss or damage to an exhibitor’s materials which may make it impossible or impractical to exhibit same.</span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"> </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Liberty Exposition Services is not liable for Customers Goods left on the show floor after the show closing deadline, with or without a Material Handling Services/Straight Bill of Lading signed by Customer. It is Customer’s responsibility to complete accurate paperwork for shipping and to ensure Customer Goods are properly labeled. If Customer Goods remain on the floor after the show closing deadline, Liberty Exposition Services has the right to remove the Customers Goods. Liberty Exposition Services is authorized by Customer to proceed in the manner chosen by Customer on the Order of Material Handling Services/Strait Bill of Lading if one has been completed, or otherwise to ship Customer Goods at the discretion of Liberty Exposition Services and at Customer’s expense. Liberty Exposition Services shall incur no liability for such shipment. Liberty Exposition Services retains the right to dispose of Customer Goods without liability if left on the show floor unattended, without labels or not correctly labeled. </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"> </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Labor under the Supervision of Liberty Exposition Services</span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Liberty Exposition Services shall be responsible for the performance of labor provided under this option. Liberty Exposition Services does not assume responsibility for any acts of, or loss to, persons, parties and/’or other contracting firms not under Liberty Exposition Services direct supervision and control. In no event shall Liberty Exposition Services be liable for loss or damage caused by delay in labor beginning work when Exhibitor requests labor to begin later then the start of the working day. LE shall not be responsible for loss, delay or damage due to strike, lockouts and /or work stoppages, or other causes beyond Liberty Exposition Services reasonable control. LE agrees to indemnify, hold harmless and defend Exhibitor from and against any and all demands, claims, causes of action, fines, penalties, damages, liabilities, judgments and expenses (including but not limited to reasonable attorney’s fees and investigation costs) for bodily injury, including any injury to Liberty Exposition Services’ employees, or property damage arising out of work performed by labor provided and supervised by LE, except when Exhibitor exercises direction and/or control over the work being performed. </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"> </span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Labor under the Supervision of Exhibitor</span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Exhibitor shall be responsible for the performance of labor provided under this option. It is the responsibility of Exhibitor to supervise labor secured through LE in a reasonable manner as to prevent bodily injury and/or property damage and also to direct them to work in a manner that is in compliance with LE’s safe work rules and/or Federal, State, County and Local ordinances, rules and/or regulations, including but not limited to Show or Facility Management rules and/or regulations. It is the responsibility of Exhibitor to check in with LE’s service desk to pick up labor, and to return to the Service Desk to release labor when the work is completed. Exhibitor agrees to indemnify, hold harmless and defend LE from and against any and all demands, claims, causes of action, fines, penalties, damages, liabilities, judgments, and expenses (including but not limited to reasonable attorney’s fees and investigation costs) for bodily injury, including any injury to LE’s employees, and/or property damage arising out of work performed by labor provided by LE but supervised by Exhibitor. Further, the Exhibitor’s indemnification of LE includes any and all violations of Federal, State, County or Local ordinances, Show Regulations and/or Rules as published and /or set for the by Facility or Show Management, and/or directing labor provided by LE to work in a manner that violates any of the above rules, regulations and/or ordinances.</span></p>

<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Privacy Policy</span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Liberty Exposition Services is the sole owner of all information collected from its website. Personal information you provide and information about your order will never be shared with third parties, except for the purpose of fulfilling your order or when required by law. </span></p>

<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">Taxes</span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">All tax rates are subject to change without notice. </span></p>

<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;"><strong>EXHIBITOR APPOINTED CONTRACTOR</strong></span></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">An Exhibitor Appointed Contractor is any contractor other than the Official Contractors appointed by Show Management, who will be providing exhibit services on the show floor. This includes exhibit installation and dismantling, florist, audio visual, photographer, display rental, display house services, etc. The exhibitor must notify Liberty Exposition Services, Inc. in writing, no later than thirty (30) days prior to the first day of move-in, of his/her intent to use an outside contractor. The exhibitor must furnish the name, address and telephone number of the contractor.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">The following rules have been established to help insure the proper operation of all aspects of the show and satisfaction of all participants.</span></p>
<p></p>
<p><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">1. The exhibitor may not use a utility service contractor (electrical, telephone, or plumbing) other than those officially contracted for by Show Management.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">2. The exhibitor is allowed to use an outside contractor to install and dismantle his/her display but may not use an outside drayage contractor. </span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">3. It is the exhibitor's responsibility to provide the Exhibitor Appointed Contractor with information pertinent to the installation and servicing of the exhibit; e.g. utilities, service order forms, installation and dismantling dates, target dates, shipping instructions, labels, display regulations, work passes, etc. The exhibitor agrees that he/she is ultimately responsible for all services in connection with his/her exhibit; including freight, drayage, rentals and labor</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">4. The Exhibitor Appointed Contractor shall have the right to provide services requested by the exhibitor. However, the Exhibitor Appointed Contractor must conform to the following guidelines.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">a. The Exhibitor Appointed Contractor shall have a valid work order from the exhibitor in advance of the show installation date, and shall be prepared to present this upon request at the show. The Exhibitor Appointed Contractor shall not solicit business on the show floor.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">b. Work will be allowed only on exhibits for which prior notification has been received and approved.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">c. The Exhibitor Appointed Contractor shall have in his/her possession - and have a copy on file with Liberty Exposition Services - a public liability and property damage insurance policy naming: Show Management, Liberty Exposition Services, the facility and other particular parties that may be required; as the insured in the amount specified by the facility, or $2,000,000.00 whichever is greater. This information must be on file no later than thirty(30) days prior to the first day of move-in.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">d. A letter must be provided to Liberty Exposition Services, no later than thirty (30) days prior to the first day of move-in, listing the exhibitors who have retained the services of the Exhibitor Appointed Contractor. Liberty Exposition Services will keep this information confidential.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">e. The Exhibitor Appointed Contractor must - prior to starting work - have all business licenses, permits and workers compensation insurance required by: the state, city governments and exhibit facility management; and shall provide Liberty Exposition Services with the evidence of compliance.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">f. The Exhibitor Appointed Contractor must - prior to starting work - furnish Liberty Exposition Services with the names of all employees who will be working in the hall; as well as names, addresses, and telephone numbers of key executives for emergency contact. Upon notification by the exhibitor of intent to use an Exhibitor Appointed Contractor, the contractor will be supplied the appropriate form for response.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">g. The Exhibitor Appointed Contractor must obtain badges from Show Management and Liberty Exposition Services prior to starting work. Anyone found not wearing the appropriate badge will be required to immediately leave the hall.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">h. The Exhibitor Appointed Contractor is responsible for adherence to all rules of ingress and egress in a timely and professional manner. He/she should complete his/her work within the prescribed time limits.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">i. The Exhibitor Appointed Contractor must remain within the perimeter of the booth(s) he/she is erecting. He/she will not be allowed to set up work areas in the aisles or other unused areas of the exhibit hall.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">j. The exhibitor Appointed Contractor shall cooperate fully with Liberty Exposition Services and, when necessary, assist Liberty Exposition Services in meeting schedule requirements. The Exhibitor Appointed Contractor shall refrain from interfering with the efficient utilization of labor by Liberty Exposition Services.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">k. When necessary, the Exhibitor Appointed Contractor shall share with Liberty Exposition Services all reasonable costs related to his/her work; including the sharing of payment of union stewards, any required restoration of exhibit space to its initial condition, etc.</span><br /><span style="font-family: arial,helvetica,sans-serif; font-size: 8pt;">5. Failure to comply with the terms set forth in this document will be grounds for the Exhibitor Appointed Contractor not being allowed to work in the exhibit hall, or work being stopped and the Exhibitor Appointed Contractor required to leave the show floor.</span></p>

<p>Information collected may be used in connection with or for purposes of providing services to you, your business, and to others, improving services provided to you, your business, or to others, providing notices to you, complying with applicable law, and any other lawful purpose, including protecting the health or safety of you or others, and monitoring and preventing fraudulent or unlawful third-party activity.</p>
<p><strong><span style="text-decoration: underline;">Commercial Use of Information</span></strong></p>
<p>Liberty Exposition Services Inc. will not sell or share the Information with third parties for any commercial purposes without your consent and express agreement. Liberty Exposition Services Inc. may, however, use the Information in order to share generic, collective, group, or other non-identifying information about the use of Liberty Exposition Services Inc.’s products and services as part of commercial transactions with third parties to help Liberty Exposition Services Inc. improve its products and services or for any other lawful purpose.</p>
<p><strong><span style="text-decoration: underline;">Third-Party Service Providers</span></strong></p>
<p>Liberty Exposition Services Inc. may use third-party service providers and vendors to assist Liberty Exposition Services Inc. in providing its products and services to you and others, including, without limitation, services to host Liberty Exposition Services Inc.’s Software Services, Storefronts, payment processes, and other services pursuant to the Agreement. Liberty Exposition Services Inc. may also use third-party service providers and vendors to store Information and other data. Any such third parties would have access to your Information for the limited purpose of assisting, as reasonably necessary, Liberty Exposition Services Inc. in providing Software Services and other services pursuant to the Agreement.</p>
<p>Liberty Exposition Services Inc. may disclose your Information as Liberty Exposition Services Inc. reasonably believes is required by court order, governmental directive, or other law, to protect the rights of Liberty Exposition Services Inc., or as otherwise allowed pursuant to the Agreement or applicable law.</p>
<p><strong><span style="text-decoration: underline;">Information Protection</span></strong></p>
<p>Liberty Exposition Services Inc. will retain, protect, and process the Information and underlying or related data using commercially reasonable practices. Although Liberty Exposition Services Inc. will undertake such efforts to preserve and protect the integrity of the Information, you acknowledge and agree that all security measures have potential risks.</p>
<p><strong><span style="text-decoration: underline;">Customer Control of Collected Data</span></strong></p>
<p>You may decline to provide or submit Information to us, however, some of our Software Services, Storefronts, or other services may not be available to you if you choose not to provide or submit Information.
